Terms of Service

By accessing or using the Vision Pitch LLC website, platform, or any services (collectively, the "Services"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services.

These Terms constitute a legally binding agreement between you and Vision Pitch LLC, a Wyoming limited liability company. Use of the Services by any entity constitutes acceptance on behalf of that entity and its authorised representatives.

Vision Pitch LLC provides interactive digital marketing assets for the commercial real estate industry, including but not limited to:

• Interactive Offering Memorandums (Interactive OMs) — web-based campaign assets for ground-up developments, development sites, and investment sales
• 360° location views, interactive maps, floor plans, and masterplans
• Lead capture forms, inventory and price lists, and media galleries
• Strategy consulting and campaign advisory services

All deliverables are produced by Vision Pitch LLC based on materials, content, and instructions provided by the Client.

Online Orders: Orders placed through the website are subject to acceptance by Vision Pitch LLC. We reserve the right to refuse or cancel any order at our discretion.

Pricing: All prices are listed in United States Dollars (USD) unless otherwise stated. Prices are subject to change without notice prior to order confirmation.

Payment: Payment is due at the time of order unless otherwise agreed in writing. We accept major credit cards and other payment methods as displayed at checkout. All payments are processed securely through Stripe.

Taxes: Clients are responsible for any applicable taxes, duties, or levies in their jurisdiction. Vision Pitch LLC will collect applicable sales tax where required by law.

Refunds: Due to the bespoke nature of our deliverables, all sales are final once production has commenced. If you have concerns about a deliverable, contact us at [email protected] within 7 days of delivery and we will work to resolve the issue in good faith.

To enable Vision Pitch LLC to deliver the Services, you agree to:

• Provide accurate, complete, and timely content, materials, and instructions
• Ensure you hold all necessary rights, licences, and permissions for any materials you supply (including images, plans, renderings, and copy)
• Review and approve deliverables within agreed timeframes
• Notify us promptly of any errors or required amendments

Vision Pitch LLC is not liable for delays or deficiencies caused by the Client's failure to fulfil these responsibilities.

Client Materials: You retain ownership of all content, data, and materials you provide to Vision Pitch LLC. You grant us a limited, non-exclusive licence to use such materials solely for the purpose of delivering the Services.

Deliverables: Upon receipt of full payment, Vision Pitch LLC assigns to you all rights in the final deliverables specifically created for your project, excluding any pre-existing proprietary technology, frameworks, templates, or tools developed by Vision Pitch LLC ("Vision Pitch IP").

Vision Pitch IP: All underlying technology, platform infrastructure, templates, and methodologies remain the exclusive property of Vision Pitch LLC. Nothing in these Terms grants you any rights in Vision Pitch IP.

Portfolio Use: Vision Pitch LLC reserves the right to display completed deliverables in its portfolio and marketing materials unless you request otherwise in writing prior to project commencement.

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Services ("Confidential Information"). Confidential Information shall not be disclosed to third parties without prior written consent, except as required by law or to service providers bound by equivalent confidentiality obligations.

This obligation survives termination of the engagement for a period of three (3) years.

To the maximum extent permitted by applicable law, Vision Pitch LLC's total liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed the amount paid by you for the specific deliverable giving rise to the claim in the twelve (12) months preceding the claim.

In no event shall Vision Pitch LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or loss of business opportunity, even if advised of the possibility of such damages.

Vision Pitch LLC does not warrant that the Services will meet your specific business objectives or that any particular commercial outcome will be achieved through use of the deliverables.

You agree to indemnify, defend, and hold harmless Vision Pitch LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of the Services
• Your breach of these Terms
• Any materials you provide that infringe the rights of a third party
• Any misrepresentation made by you in connection with the Services

You agree not to use the Services or deliverables to:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of any third party
• Engage in fraudulent, deceptive, or misleading conduct
• Distribute malware, spam, or unsolicited communications
• Reverse-engineer, copy, or resell Vision Pitch IP without written authorisation

Either party may terminate an engagement by providing written notice if the other party materially breaches these Terms and fails to cure such breach within fourteen (14) days of written notice.

Upon termination, you shall pay Vision Pitch LLC for all work completed up to the termination date. Vision Pitch LLC shall deliver all completed work product upon receipt of such payment.

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms shall first be subject to good-faith negotiation between the parties. If unresolved within thirty (30) days, disputes shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with proceedings conducted in Sheridan, Wyoming.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information.

Canadian Clients: Clients located in Canada acknowledge that these Terms are governed by Wyoming law, and consent to the jurisdiction of Wyoming courts for any matters not subject to arbitration.

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

Vision Pitch LLC reserves the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last Updated" date. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

These Terms, together with any project-specific agreements or statements of work, constitute the entire agreement between you and Vision Pitch LLC with respect to the Services and supersede all prior agreements, representations, and understandings.
